I am a corporate and securities associate in Cooley's New York office, specializing in the representation of emerging growth companies throughout their lifecycles. I advise C-level executives and boards of directors of New York Citys leading digital media, internet, e-commerce, and social media companies on venture capital, buy- and sell-side mergers and acquisitions, start-upformation, and corporate governance. I act as outside general counsel to early- and mid-stage technology companies on such issues as operations, employment, labor, stock plans, capital raising, and investor relations. Prior to working at Cooley, I was an associate at Gunderson Dettmer, where I led and managed corporate restructurings and venture financings, and managed and closed domestic and international (Spain, Brazil, Sweden, India, Australia, the Netherlands) equity financings, debt financings and MA transactions, including drafting and negotiating all transactional documents, building financial payout models, conducting all due diligence, and managing state and federal securities compliance. I've also acted as counsel to underwriters syndicate on public offerings for internet companies, drafting the prospectus and leading due diligence efforts in connection with IPOs and follow-on public offerings. I am admitted to the state bars of New York and California.
